General Terms of Cooperation

of AllRide GmbH for "Jobticket+"

1. General and Scope

1.1 These terms of cooperation ("Terms") govern the use of the "Jobticket+" programme of AllRide GmbH ("AllRide") by companies ("Corporate Customers"). Jobticket+ is based on the Deutschlandticket and further mobility services and is a comprehensive mobility offering for companies that wish to provide their employees with a discounted ticket for the use of local public transport.

1.2 The offer is directed exclusively at companies domiciled in Germany that have a registered company account with AllRide. Booking and administration take place via the "Jobticket+" platform of TicketPlus+ (https://www.ticket-plus.app/jobticket-fuer-unternehmen), a service of AllRide GmbH.

1.3 These Terms constitute the contractual agreement between AllRide and the Corporate Customer and are accepted by using the platform. Deviating terms and conditions of the Corporate Customer are not recognised unless AllRide has expressly agreed to them in writing.

2. Conclusion of Contract and Registration

2.1 To use Jobticket+, the Corporate Customer must register an account with AllRide and provide the required company data.

2.2 The Corporate Customer applies for participation in Jobticket+ by means of a binding registration via the platform. The application is accepted by way of a confirmation e-mail from AllRide and the confirmation of the Corporate Customer's e-mail address. The contract is only concluded upon receipt of this confirmation and confirmation of the Corporate Customer's e-mail address.

2.3 The Corporate Customer undertakes to keep all company data provided correct and up to date.

2.4 Registration on the AllRide platform is free of charge. Corporate Customers only incur costs upon the first issuance of a Jobticket+.

2.5 The contract for the purchase of a job ticket subscription is concluded with the KVP responsible for the respective customer ("Kundenvertragspartner" [customer contract partner] or "KVP").

2.6 All employees of the employer company who are in an employment relationship are eligible for the job ticket. The customers' eligibility is verified upon the initial conclusion of the job ticket contract (new customers) and thereafter on an ongoing monthly basis (existing customers) in coordination with the respective employer company in accordance with the following paragraphs.

2.7 The job ticket subscription offered in the online shop does not constitute a binding offer within the meaning of Sections 145 et seq. of the German Civil Code (BGB); rather, it is an invitation to the customer to place a binding order subject to payment or to make a binding offer to conclude a job ticket subscription. The contract for the subscription is only concluded upon acceptance/confirmation of the order by AllRide, acting on behalf of the KVP, and upon occurrence of the condition precedent described in the following paragraphs. By selecting the button "Order with obligation to pay" or "Buy now" or similar, the customer places a binding order subject to payment (binding offer) for the job ticket subscription.

2.8 The job ticket subscription can be ordered by selecting the start date and using the stored personal data and payment data. The 1st of a month can be selected as the start date in each case. A start date directly on the 1st of a month requires that the corresponding order has been received in the online shop by the 25th of the respective preceding month. Before completing the order, the customer once again receives an overview of the data entered for review. The customer is given the opportunity to correct any errors or to cancel the order.

2.9 The job ticket contract is concluded by return of a confirmation via the selected delivery channel (here: e-mail) as an order confirmation.

2.10 An order of the job ticket by the customer for the 1st of a month must be received via the AllRide platform in the company dashboard by the 25th of the preceding month. The company is responsible for the correctness of the list of employees and confirms the approval of the orders directly in the company dashboard. Customers approved by the company subsequently receive the travel authorisation as of the 1st of the following month or the 1st of the selected start month in accordance with the applicable tariff conditions (currently available in the download area of the online shop and in the app). A corresponding verification of eligibility is carried out on an ongoing monthly basis for existing customers directly in the company dashboard.

2.11 Changes that have not been confirmed by the company in the company dashboard by the 25th of the preceding month, in particular a loss of the customer's eligibility, shall not be at the expense of AllRide or the KVP. If the customer's eligibility ceases, an already established contractual relationship ends in accordance with Section 5 (Term, Termination). If the company does not reject the order approval for a new customer by the 25th of the preceding month in the company dashboard, the order is deemed to be automatically accepted and a contract for the job ticket is concluded. The customer is informed of this in the dashboard.

3. Scope of Services and Choice of Financing Model

3.1 AllRide provides the participating employees of the Corporate Customer with the Deutschlandticket in digital form via the TicketPlus+ platform or the TicketPlus+ app. The Deutschlandticket entitles the holder to use local public transport in Germany in accordance with the applicable tariff conditions and conditions of carriage for the Deutschlandticket. Tariff changes automatically become part of the respective subscription contract. Compensation or refunds in the event of delays or cancellations are made in accordance with the respective rules of the transport companies.

3.2 The Deutschlandticket is issued as a personalised digital ticket that can be accessed via the AllRide app or a partner platform. After registration, employees receive a confirmation as well as access to the ticket, which may only be used by the entitled person.

3.3 The Deutschlandticket under Jobticket+ is intended exclusively for business and private journeys of the employee. Passing it on or transferring it to third parties is not permitted. Violations of these provisions may lead to the ticket being blocked or the participation being terminated.

3.4 Financing models: As part of the set-up, the Corporate Customer chooses one of the following models for the assumption of costs and settlement. The respective model can be selected individually for each employee before activation of the ticket:

  • Model A: 100% subsidy (tax-free salary increase): The Corporate Customer bears the entire costs of the ticket as well as the applicable service fee. Billing takes place entirely vis-à-vis the Corporate Customer. The employee makes no co-payment. (Note: This model aims at tax exemption pursuant to Section 3 No. 15 of the German Income Tax Act (EStG).)
  • Model B: Salary conversion (free of charge for the company & tax-optimised): The Corporate Customer concludes an agreement with the employee to reduce the gross salary by the amount of the regular ticket price. The Corporate Customer pays the flat-rate wage tax (pursuant to Section 40 (2) sentence 2 no. 1 EStG). The ticket costs and service fees are billed to the Corporate Customer, who compensates for them economically through the salary reduction and the social security savings.
  • Model C: Split-pay (cash-flow optimised): The costs are split between the Corporate Customer and the employee. The Corporate Customer undertakes to pay a minimum subsidy per ticket and month in accordance with the statutory requirements for obtaining the large-customer discount (at least 25% of the issue price, where required). The remaining amount is borne by the employee.
    • The company share and the service fee are invoiced to the Corporate Customer.
    • The employee's own share is collected directly from the employee or invoiced to the Corporate Customer, who withholds it via payroll deduction (depending on the technical setting in the dashboard).

3.5 The Deutschlandticket is a subscription and renews monthly unless it is paused or terminated in due time by the Corporate Customer or the employee.

3.6 An entitlement to use the services available via the AllRide platform and the online shop exists only within the scope of AllRide's technical and operational capabilities. AllRide strives to keep the services offered usable with as few interruptions as possible. However, technical faults (such as interruption of the power supply, hardware and software errors, technical problems in the data lines) may cause temporary restrictions or interruptions.

3.7 AllRide is entitled at any time to modify services provided free of charge on the AllRide platform and in the online shop, to make new services available free of charge or against payment, and to discontinue the provision of services provided free of charge. In doing so, AllRide will in each case take the legitimate interests of the customer into account.

4. Costs, Billing and Payment

4.1 The pricing of Jobticket+ is composed of the applicable price of the Deutschlandticket (less any statutory discounts, e.g. 5% business customer discount) and a service/administration fee charged by AllRide. The currently applicable prices for the ticket and the amount of the service fee result from the price list (Annex 1) in the version valid at the time the contract is concluded. AllRide reserves the right to make price adjustments due to statutory changes (e.g. a change of the Deutschlandticket price by the federal or state governments) or economic changes. Corporate Customers will be informed of any price changes in text form at least two weeks in advance.

4.2 Billing takes place monthly in advance by SEPA direct debit or by invoice, as agreed. Invoices are issued electronically to the Corporate Customer's stored billing address.

4.3 If payment is not collected by SEPA direct debit, payment is due within 14 days of invoicing. In the event of default in payment, AllRide may suspend the provision of the tickets.

4.4 The payment modalities of the SEPA direct debit procedure are as follows: To set up a SEPA direct debit mandate, the customer's personal data (first name, surname, address, date of birth and e-mail address) and a German, Austrian or Swiss bank account are required for the unambiguous allocation of a monthly payment. Upon completion of the order, by agreeing to these General Terms and Conditions the customer grants the authorisation to collect payments from the specified account by SEPA direct debit. At the same time, the customer instructs their payment service provider to honour the direct debits drawn on their account.

4.5 If the Corporate Customer is in default of payment for more than 14 days after the due date, AllRide is entitled to initiate debt collection measures. The costs thereof shall be borne by the Corporate Customer.

4.6 In the event of the Corporate Customer's insolvency, AllRide's claims are governed by the applicable German insolvency laws.

5. Term, Termination and Pausing

5.1 The contract is concluded for an indefinite period. Termination is always possible up to the 10th of a month with effect from the end of that month.

5.2 The Corporate Customer may end the participation of individual employees by the 10th of a month with effect for the following month by terminating the employee's participation.

5.3 The Deutschlandticket can be paused via the platform up to 24 hours before the end of the month. Pausing is only possible for full calendar months. In the settings of the company dashboard, it can be defined whether employees can pause their job ticket themselves or whether this can only be done by the company. If a Jobticket+ is paused by the company or the employees after the twentieth day of the preceding month for the following month, the company remains obliged to pay the full amount for the Jobticket+ notwithstanding the pause; this amount will be credited in the following month.

6. Liability and Warranty

6.1 AllRide is not liable for delays, cancellations or other service disruptions of the transport operators. Compensation is governed by the conditions of carriage of the transport companies.

6.2 AllRide's liability is limited to intent and gross negligence. This does not apply to damage resulting from injury to life, body or health, or to the breach of essential contractual obligations (cardinal obligations).

6.3 Specific exclusion of liability for tax-related models (in particular salary conversion): AllRide provides the Corporate Customer with information, template documents and platform functions for implementing the models referred to in Section 3.4 (in particular Model B "salary conversion"). These serve merely as support and do not constitute tax or legal advice. The Corporate Customer is solely responsible for the correct booking and payment of wage tax and social security contributions in its payroll accounting. AllRide is expressly not liable for damage or disadvantages incurred by the Corporate Customer as a result of:

  • a) incorrect internal booking within the Corporate Customer's company,
  • b) the actual savings deviating from the values shown in sample calculations or advertising materials (as these are based on generalised assumptions, tax classes and contribution assessment ceilings),
  • c) the requirements for the applicability of flat-rate taxation (e.g. Section 40 (2) EStG) not being met in the specific individual case.

7. Data Protection

7.1 AllRide processes personal data of the participating employees in accordance with the General Data Protection Regulation (GDPR).

7.2 Further information on data processing can be found in AllRide's privacy policy.

8. Final Provisions

8.1 The law of the Federal Republic of Germany applies. The place of jurisdiction is Berlin.

8.2 Amendments to these Terms will be announced to the Corporate Customer in text form, in particular by e-mail or via the customer portal, with a notice period of two weeks. If the Corporate Customer does not object within this period, the amendments are deemed to be accepted.

Annex 1: Administration Fees for Jobticket+

The administration fees for Jobticket+ are staggered as follows:

Note: The monthly administration fee per employee is charged regardless of the employee's status (paused or active). Exemption from these costs is only possible by deleting the employee.
